JENNY SHIPLEY TO JOIN RICHINA BOARD AND CHAIR MAINZEAL

Statement made by Richard Yan, Acting Chairman, Richina Pacific Limited

Former Prime Minister Jenny Shipley is to join the Board of Richina Pacific from 1 April 2004, and will also chair the operational board of subsidiary, Mainzeal Property and Construction Limited. Mrs Shipley brings to the board her extensive experience in governance and her wide network of connections both in New Zealand and China.

The Mainzeal board will be the first of a number of operational boards that Richina will establish to provide governance for its diverse international activities.

Joining Mrs Shipley on the Mainzeal board as an independent director is Mr Clive Tilby, a construction industry consultant with extensive construction management experience, most recently with Downer companies.

Other members of the Mainzeal board will be Mainzeal executives Neil Ranford (Chief Executive Officer) and Mark O’Brien (Chief Financial Officer), and Richard Yan, Chief Executive of Richina (alternate Warwick Lobb, Company Secretary, Richina).

Other operational boards will be established for the Shanghai based leather operation, the Beijing based entertainment and educational aquarium, and a China based financial services and management operation being established around Richina Pacific (China) Investments Limited.

The proposed structure is in line with that announced to shareholders at the annual meeting, and will provide appropriate corporate governance for an international investment company with major but diverse operations spread across a large geographical area.

The Rt Hon Jenny Shipley is the former Prime Minister of New Zealand. Today she is involved in many areas of commerce and public life. Since stepping out of politics she has spent a considerable amount of time overseas and in China in particular, speaking and forging new commercial and cooperative relationships between talented people and companies in the public and private sectors.

As Prime Minister she guided New Zealand through the challenging and controversial first MMP Parliament and through the demands of the Asian economic crisis, returning New Zealand to impressive economic growth of 4%+ which laid the ground work for New Zealand’s strong subsequent economic performance.

As PM she was the first woman to chair the highly successful APEC in New Zealand in 1999, advancing the free trade agenda, promoting economic cooperation, forging new tourism agreements and advancing positive regional relationships while also actively promoting New Zealand’s export and tourism sectors.

Mrs Shipley had many high profile reforming roles during her political career. As Women’s Minister, Health Minister and Social Welfare Minister she oversaw reform on the human rights area which eliminated discrimination on the grounds of sexual orientation, disability, age, and health status. Mrs Shipley is passionate about leadership, best management practice, entrepreneurial endeavor and the merits of competition and markets. She brought these interests to bear by leading major change in the State Sector. The restructuring of Departments and Ministries, the introduction of public private partnerships in welfare and health delivery, the down sizing of the public sector, and the introduction of performance pay and performance contracts were all areas in which she made a major impact.

As ACC Minister she began the process of introducing competition to the Accident Insurance market. As Transport Minister, she privatized several of New Zealand’s airports. As State Owned Enterprises Minister she floated part of a number of companies, allowing New Zealanders to own a stake in them.

Having gone into parliament at 35 years old, she retired from politics after 15 active years, determined to build a challenging and rewarding new career. Mrs Shipley now uses her experience and relationships worldwide as she runs her own Consultancy Company, is a Director of a number of companies, and speaks at different events around the world.

In 2003, for example, she has made presentations at:

- The Boao Forum for Asia special post SARS conference, the Revitalization of Tourism Conference in Hong Kong
- A Tourism Symposium in Japan
- The Commonwealth Corporate Governance Forum in Fiji for Ministers and CEO’s.
- Boao Forum for Asia on Hainan, in China in October 2003
- The UNESCO and Boao sponsored Education Forum for Asia in Beijing in December as an Initiator
- In November 2003 she was a Visiting Fellow at the John F Kennedy School at Harvard University in the USA. The Visiting Fellowship also included the Centre for Public Leadership on Boston

She is married to Burton Shipley, a former farmer and now Wholesale Business Manager for ASB Bank Group Investments. They have two adult children, Anna and Ben, who are in their mid 20’s.

Clive Tilby

Career

Clive’s early experience, following graduation in 1970, was spent with the Ministry of Works and Development on roading, bridging and tunnelling works. He spent 1971 and 1972 as an engineer with the Public Works Department in Samoa on the Volunteer Service Abroad programme. In the late 70’s he was employed by Codelfa Construction as Project Manager for the South Rangitikei Railway Viaduct, still acknowledged as one of NZ’s most challenging bridge projects. In 1983, following two years overseas travel, Clive joined Brian Perry Limited in Hamilton as Project Manager and then Assistant General Manager. Brian Perry Ltd is well known for outstanding completion of a wide range of high risk civil engineering works. Brian Perry Ltd was bought by Fletcher Construction and Clive moved in 1987 to Wellington, as Regional Manager of Fletcher Development and Construction which carried out major commercial building projects in the Capitol.

In 1993, Clive joined Bilfinger + Berger, a large German Construction company with its Asian office in Bangkok. Clive spent two years as Project Manager Procurement for very large infrastructure projects in Thailand and other Asian countries. From 1995 to 1997, he was President Director for the company’s Indonesian operations which involved a mixture of infrastructure and commercial building projects. His overseas experience has given Clive an in-depth knowledge of design, construction and funding processes for large scale infrastructure works, including cross border complexities.

Clive returned to New Zealand to take up the position of Executive General Manager for Downer Engineering Capital Works division responsible for the NZ and Pacific region. Two national construction awards were achieved in this period including the Britomart Transport Centre in Auckland. During this period he strongly supported Site Safe NZ, and for a time served as a Director. Clive left Downer in 2003 to start an independent consultancy offering management services to the infrastructure market, business planning, and advice for offshore project delivery.

Clive has extensive construction experience, particularly in civil and larger infrastructure works. He brings sound skills in management, strategic planning and governance, plus independence, to the appointment. He is a member of the Institution of Professional Engineers New Zealand (IPENZ) and the Institute of Directors in New Zealand

Personal

Clive is married to Alessandra, with three children, Andrew, Robert and Catterina. His interests include reading, music, mountain biking, walking and skiing.
