Notice of Special Meeting and Prospectus - Corporatisation Proposal

Kiwi Income Property Trust today registered a combined Notice of Special Meeting and Prospectus (Notice of Meeting), providing details of the Trust’s previously signalled proposal to move the Trust to a company structure.

Chairman, Mark Ford, said: “Following the recent internalisation of management, we signalled to our investors that we wished to further streamline our corporate structure.

Our corporatisation proposal is contained within the Notice of Meeting which is available today on the NZX and the Trust’s websites, and will be mailed to our Unit Holders and Mandatory Convertible Note Holders on 28 November 2014.”

“If the corporatisation proposal is approved, investors will benefit from further cost savings along with a streamlined corporate structure and greater protections under the Takeovers Code and the Companies Act,” Mr Ford said.

“The Board unanimously recommends that Unit Holders vote in favour of both resolutions set out in the Notice of Meeting.”

The Special Meeting of Unit Holders will be held at Eden Park Stadium, Level 4 Lounge West, South Stand, Gate G Eden Park, Reimers Avenue, Kingsland, Auckland on 15 December 2014, commencing at 10.00am.
