OIO calls into question established listed company market practice

The Overseas Investment Office has recently advised that its interpretation of the definition of "overseas person" under the Overseas Investment Act 2005 is markedly different from what this firm and, to our knowledge, the market generally has previously adopted.

We believe that the position adopted by the Overseas Investment Office will be problematic for a number of listed issuers, for investors in listed issuers, and for custodian and nominee companies.
