AGM Resolutions

Attached are the resolutions passed at the New Zealand Meat Board's AGM held at War Memorial Convention Centre, Napier on March 14 2006 and the resolutions passed Meat & Wool New Zealand's AGM, at Poukawa Research Station, Hastings, on March 15 2006.

RESULTS - RESOLUTIONS REQUIRED BY THE MEAT BOARD ACT 2004

Please find below the resolutions voted for and passed at the New Zealand Meat Board Annual General Meeting, held at the War Memorial Convention Centre, Napier, March 14 2006.


RESOLUTION NO.1

That the Board’s recommendation that KPMG be appointed as the Meat Board’s auditor for the year ending 30 September 2006 be approved.

RESOLUTION NO.2

That the total remuneration and benefits to be paid to all industry-selected Directors (for services as Directors) for the Financial Year Ending 30 September 2007 remain at $144,200.

Please find below the resolutions required by the Company’s Constitution voted for and passed at Meat & Wool New Zealand’s Annual General Meeting held at Poukawa Research Station, Hastings,15 March 2006.

FARMERS’ ORDINARY RESOLUTION NO.1

That the Board’s recommendation that KPMG be appointed as Meat & Wool New Zealand Ltd’s auditor for the year ending 30 September 2006 be approved.

FARMERS’ ORDINARY RESOLUTION NO.2

That remuneration and benefits to be paid to all Directors collectively (for services as Directors) for the financial year ending 30 September 2007 be set at $283,230 in total.
